Karl F. Kurz, Non-Executive Chairman of the Board

Karl Kurz was appointed on May 11, 2018 as non-executive Chairman of the Board of American Water, the largest investor-owned U.S. water and wastewater utility company.

He was initially appointed as an independent member of American Water’s board of directors on February 2015.

Mr. Kurz is a former chief operating officer for Anadarko and also held management positions at Vastar Resources and ARCO Oil and Gas. Most recently, Mr. Kurz served as a managing director of CCMP Capital Advisors, LLC, a global private equity firm, from 2009 to 2012.

Prior to CCMP, Mr. Kurz spent nine years with Anadarko Petroleum Corporation, one of the largest independent oil and gas exploration and production companies in the world, last serving as chief operating officer from December 2006 to 2009. He was responsible for overseeing the company’s global exploration and production, marketing, midstream, land, technology and service businesses.

Mr. Kurz also previously served as general manager of midstream and marketing for Vastar Resources, Inc. where he managed the company’s marketing of oil, natural gas liquids, gas and gas processing. He also held management positions at ARCO Oil & Gas Company in several business units including reservoir engineering, production, operations, crude oil marketing, and financial trading.

Mr. Kurz currently serves on the boards of WPX Energy Inc. and SemGroup Corporation. He previously served as a board member of the American Petroleum Institute, the Independent Petroleum Association of America, the Natural Gas Supply Association, Western Gas Partners LP, and Siluria Technologies.

Mr. Kurz received a Bachelor of Science degree in Petroleum Engineering from Texas A&M University and is a graduate of Harvard Business School’s Advanced Management Program.

Jeffrey Edwards, Director

Jeffrey N. Edwards was appointed as an independent member of American Water’s board of directors on March 1, 2018.

Mr. Edwards currently serves as a partner and chief operating officer at investment advisor New Vernon Capital. Prior to New Vernon Capital, Edwards capped a 22-year career at Merrill Lynch & Co. as vice chairman, and, prior to that, chief financial officer. His previous positions at Merrill Lynch include Head of Origination, Americas, Head of Global Capital Markets and CoHead of Global Equities. He began his career at Chase Manhattan Bank as a credit auditor.

In addition to American Water, Mr. Edwards also serves on the board of directors of Raymond James Financial, Inc. and Medusind, Inc., and is Chairman of the Board of Trustees for the Pingry School. He previously served on the policy and finance committees of the board of directors of NASDAQ.

Mr. Edwards holds a bachelor’s degree, with honors, in Physics from Haverford College and his MBA from Harvard Business School.

Martha Clark Goss, Director

Martha Clark Goss began her tenure as a member of American Water’s Board of Directors on October 22, 2003.

Ms. Goss currently serves as the chief operating officer and chief financial officer of Amwell Holdings/Hopewell Holdings LLC, a holding company making investments in the health insurance space. She previously served as chief financial officer for The Capital Markets Company, a provider of e-based solutions to the global financial services and capital markets industry, and chief financial officer of Booz Allen & Hamilton Inc., a management consulting firm. Ms. Goss also held various senior executive positions with Prudential Insurance Company of America and Chase Manhattan Bank, N.A.

In addition to American Water, Ms. Goss also serves on several company boards, including Channel Reinsurance Ltd., where she also serves as Chair, the board of the Neuberger Berman Mutual Fund Complex, and Allianz Life of New York. She previously served on the Boards of Claire’s Stores, Inc., Foster Wheeler Ltd., Dexter Corporation, the Metropolitan Regional Board of The Chase Manhattan Bank, IBJ Whitehall Business Credit Corporation and the boards of various subsidiaries of The Prudential Insurance Company of America. She is a frequent speaker on corporate governance, enterprise risk management and audit committee topics for the Conference Board and other organizations.

Ms. Goss is a Trustee Emerita of Brown University and Past President and a Board member of the Financial Women's Association of New York. In addition, she was selected as co-honoree with Lady Margaret Thatcher for Brown University's Independent Man Award, was invited to participate as one of the 326 delegates to President Clinton's Economic Summit in 1992, is a member of the Committee of 200 and TIGER 21 and a recipient of the Distinguished Alumni Award of Brown University.

Ms. Goss has a bachelor’s degree from Brown University and received her MBA from Harvard Graduate School of Business.

M. Susan Hardwick, Director

Susan Hardwick is President, Chief Executive Officer and Chief Financial Officer of American Water Works, Inc. (NYSE: AWK), the largest publicly traded U.S. water and wastewater utility. Ms. Hardwick leads a team of 6,400 dedicated professionals who provide service to 14 million people in 24 states.

American Water’s regulated businesses operate in approximately 1,700 communities in 15 states and provide water and wastewater utility services to residential, commercial, industrial, and other customers. The company's regulated-like business includes its Military Services Group that provides water and wastewater services for 17 military installations across the U.S.

Ms. Hardwick joined American Water in June 2019 and became Chief Financial Officer on July 1, 2019. In this role, she is responsible for all aspects of financial management and strategy, including directing finance strategy, investor relations, treasury, financial planning, accounting, internal audit, risk management, supply chain, regulatory services, and control functions. In February 2022, she was named President and Chief Executive Officer of American Water.

Prior to joining American Water, Ms. Hardwick served as executive vice president and chief financial officer of Vectren Corporation, prior to the sale to CenterPoint Energy Company. In her CFO role at Vectren, Hardwick was a member of the executive leadership team responsible for development and execution of business and financial strategy for both the regulated utility businesses, as well as the market-based subsidiaries. She also led the development and execution of the company’s regulatory strategy and investor relations and was responsible for numerous financing transactions.

Ms. Hardwick led the execution of the definitive agreement with CenterPoint Energy for the 2019 sale of Vectren for $8.5 billion, the second highest multiple paid for a natural gas distribution company at the time.

Ms. Hardwick was elected to the Board of Directors of New Jersey Resources, Inc. in September 2020. Ms. Hardwick currently serves on the National Board of Directors and treasurer of Family Promise, Inc, the Philadelphia Chamber of Commerce, and has also served in leadership positions on a variety of community boards over the course of her career. Appointed by the Governor, Ms. Hardwick served two terms as an Arts Commissioner for the state of Indiana. She was also the recipient of the Athena Award in 2009 by the Chamber of Commerce of Southwestern Indiana, the Sara B. Davies Leadership Award in 2016 presented by Leadership Evansville, and the Torchbearer Lifetime Achievement Award in 2016 presented by the Indiana Commission on Women. Also, in 2016, she was named CFO of the Year Honoree by the Indianapolis Business Journal and by the Philadelphia Business Journal in 2020.

She has also held numerous leadership and committee roles with the American Gas Association and the Edison Electric Institute, is a CPA and holds an accounting degree from Indiana University.

Kimberly J. Harris, Director

Kimberly J. Harris was appointed as an independent member of American Water's board of directors on July 25, 2019.

Ms. Harris is president and CEO of Puget Sound Energy, Washington state’s largest utility serving more than 1.5 million customers across 10 counties. Prior to her current role, Harris was PSE’s chief resources officer. She practiced law with Perkins Coie before joining PSE in 1999.

Ms. Harris is the past chair of the American Gas Association and Washington Roundtable. She was the 2016-2017 campaign chair for the United Way of King County. In October 2014, she joined the U.S. Bancorp Board of Directors.

Ms. Harris has a bachelor's degree from San Diego State University and a juris doctor degree from Arizona State University.

Julia L. Johnson, Director

Julia L. Johnson joined American Water's Board of Directors on August 1, 2008.

Ms. Johnson is president of NetCommunications, L.L.C., a strategy consulting firm specializing in the communications, energy, and information technology public policy arenas. Prior to founding NetCommunications, Ms. Johnson was senior vice president of policy and strategic communications for MILCOM Technologies, Inc., a military technology commercialization company.

Prior to her work at MILCOM, Ms. Johnson served on the Florida Public Service Commission for two consecutive terms from 1992-1999. In that capacity, she served as the chief regulator of Florida's $16 billion water and wastewater, electric, gas and communications industries. She served as chairperson from 1997-1999.

Ms. Johnson served as the state chair of the Federal/State Joint Board on Universal Service, which provided regulatory policy recommendations to the Federal Communications Commission on the deployment of communications infrastructure and universal service support mechanisms, bringing internet access to schools and libraries across the nation. Ms. Johnson also chaired Florida's Information Service Technology Development Task Force, which advised Florida's governor and legislature on information technology policy and related legislative issues.

Ms. Johnson also serves on the Board of Directors of Allegheny Energy, Inc., a utility holding company, which, through its subsidiaries, engages in power generation operations, as well as natural gas distribution and transmission, MasTec, Inc., a provider of telecommunications and energy infrastructure construction and Northwestern Corporation, a provider of electricity and natural gas.

Ms. Johnson holds a Juris Doctorate and a bachelor's degree in business management from the University of Florida.

Patricia L. Kampling, Director

Patricia Leonard Kampling was appointed as an independent member of American Water's board of directors on July 25, 2019.

Ms. Kampling recently retired as chairman and chief executive officer of Alliant Energy Corporation, a Madison, Wisconsin-based energy company that provides nearly 1.5 million customers in Iowa and Wisconsin with safe, reliable, affordable electricity and natural gas service. Ms. Kampling joined the company in 2005, initially as Vice President of Finance, and was named Chief Financial Officer in 2009. In 2011, she was named President and Chief Operating Officer and assumed her role as Chairman and CEO in 2012.

Prior to joining Alliant Energy, Ms. Kampling spent more than 20 years at Exelon Corporation beginning her career as an engineer with PECO and ultimately served as Treasurer of Commonwealth Edison and as Senior Vice President and CFO for Exelon Enterprises.

Ms. Kampling serves on the Boards of Directors of Briggs and Stratton Corporation and American Transmission Company. Pat also serves on the Boards of the Edison Electric Institute and Electric Power Research Institute (current Chair) and is on the Board of Trustees of the Wisconsin chapter of The Nature Conservancy and is a member of the Business Roundtable.

Ms. Kampling holds bachelor’s degrees in Engineering and Economics from Swarthmore College in Pennsylvania, an MBA from the University of Chicago Booth School and received her Professional Engineer License.

George F. MacKenzie Jr, Director

George MacKenzie has been a valued member of the American Water Board of Directors since August 2003. He previously served as Non-Executive Chairman of the Board from May 2006 until May 2018.

Mr. MacKenzie also previously served as interim president and CEO of American Water until the appointment of Donald L. Correll, which took effect April 17, 2006.

In addition to his role with American Water, Mr. MacKenzie is a director on the board of Tractor Supply Company and serves on the Board of Trustees of the Medical Center of Delaware.

George MacKenzie previously served as vice chairman of the Board and chief financial officer of Hercules Incorporated, a global manufacturer of chemical specialties whose 5,000 employees generated sales of approximately $2 billion in fiscal 2005. During his 22-year career with Hercules he served in a variety of senior management roles including president of the Chemical Specialty Division.

James G. Stavridis, Director

Admiral James Stavridis was appointed as an independent member of American Water’s board of directors on March 1, 2018.

Mr. Stavridis currently serves as Operating Executive for The Carlyle Group a Washington, D.C. based private-equity group and also serves as Chair, Board of Advisors for McLarty Associates, an international consulting firm.

Mr. Stavridis previously served as the Dean of the Fletcher School of Law and Diplomacy at Tufts University, and Chairman of the U.S. Naval Institute Board of Directors.

Mr. Stavridis, a distinguished graduate of the U.S. Naval Academy, has more than 30 years of service in the U.S. Navy, including serving as commander of U.S. Southern Command, Commander of European Command and as Supreme Allied Commander, NATO, and rose to the rank of 4-star admiral.

In addition to American Water, Mr. Stavridis serves on the board of directors of the Neuberger Berman Mutual Funds and NFP Corp., a privately held insurance brokerage firm.

Mr. Stavridis earned a Master of Arts in Law and Diplomacy and a Ph.D. in international relations from The Fletcher School of Law and Diplomacy at Tufts University. He is also a distinguished graduate of both the National and Naval War Colleges. He holds various decorations and awards, including two awards of the Defense Distinguished Service Medal, the Defense Superior Service Medal, and five awards of the Legion of Merit.
