George MacKenzie began his appointment on May 17, 2006 as non-executive Chairman of the Board of American Water, the largest investor-owned U.S. water and wastewater utility company.
Mr. MacKenzie most recently served as interim president and CEO of American Water until the appointment of Donald L. Correll, which took effect April 17, 2006. He has been a valued member of the American Water Board of Directors since August 2003 and has been the Chair of the Audit Committee of the Board since February 2004.
In addition to his role with American Water, Mr. MacKenzie is a director on the Boards of Safeguard Scientifics, Inc., Tractor Supply Co., and C&D Technologies, Inc., where he served as Interim CEO early in 2005. He also serves on the Board of Trustees of the Medical Center of Delaware and is a member of the Investment Committee at the University of Delaware.
George MacKenzie previously served as vice chairman of the Board and chief financial officer of Hercules Incorporated, a global manufacturer of chemical specialties whose 5,000 employees generated sales of approximately $2 billion in fiscal 2005. During his 22-year career with Hercules he served in a variety of senior management roles including president of the Chemical Specialty Division.
Julia L. Johnson

Julia L. Johnson joined American Water's Board of Directors on August 1, 2008.
Ms. Johnson is president of NetCommunications, L.L.C., a strategy consulting firm specializing in the communications, energy, and information technology public policy arenas. Prior to founding NetCommunications, Ms. Johnson was senior vice president of policy and strategic communications for MILCOM Technologies, Inc., a military technology commercialization company.
Prior to her work at MILCOM, Ms. Johnson served on the Florida Public Service Commission for two consecutive terms from 1992-1999. In that capacity, she served as the chief regulator of Florida's $16 billion water and wastewater, electric, gas and communications industries. She served as chairperson from 1997-1999.
Ms. Johnson served as the state chair of the Federal/State Joint Board on Universal Service, which provided regulatory policy recommendations to the Federal Communications Commission on the deployment of communications infrastructure and universal service support mechanisms, bringing internet access to schools and libraries across the nation. Ms. Johnson also chaired Florida's Information Service Technology Development Task Force, which advised Florida's governor and legislature on information technology policy and related legislative issues.
Ms. Johnson also serves on the Board of Directors of Allegheny Energy, Inc., a utility holding company, which, through its subsidiaries, engages in power generation operations, as well as natural gas distribution and transmission, MasTec, Inc., a provider of telecommunications and energy infrastructure construction and Northwestern Corporation, a provider of electricity and natural gas.
Ms. Johnson holds a Juris Doctorate and a bachelor's degree in business management from the University of Florida.
William J. Marrazzo

William J. Marrazzo began his tenure as a member of American Water's Board of Directors on October 22, 2003.
Mr. Marrazzo is chief executive officer and president of WHYY, Inc., the premiere public television and radio company in the nation's fourth largest market. Previously, he served as chief executive officer and president of Roy F. Weston, Inc., a publicly traded and leading national environmental services firm.
Prior to his private sector career, Mr. Marrazzo served as water commissioner for the Philadelphia Water Department from 1971 through 1988, serving more than 550,000 retail drinking water and wastewater customers. In addition, the utility provided the same set of services on a wholesale basis to every suburban county contigious to Philadelphia. Mr. Marrazzo led a $2 billion infrastructure investment program resulting in the achievement of fishable and swimmable federal standards for both the Delaware and Schuylkill rivers. Mr. Marrazzo also served the city of Philadelphia in the capacity of managing director, the highest ranking non-elective post administering the delivery of all of the city's basic services.
In addition to American Water, Mr. Marrazzo serves on multiple civic boards as well as two additional private sector corporations, Amerigas, the world's largest distributor of retail propane, and Woodard & Curran, a national engineering firm.
Mr. Marrazzo holds a bachelor's degree from the University of Delaware and has completed coursework for his master's degree in chemical engineering from Villanova University. He also holds an honorary Doctorate in Humane Letters from Philadelphia University.
Martha Clark Goss

Martha Clark Goss began her tenure as a member of American Water's Board of Directors on October 22, 2003.
Ms. Goss currently serves as the chief operating officer and chief financial officer of Amwell Holdings/Hopewell Holdings LLC, a holding company making investments in the health insurance space. She previously served as chief financial officer for The Capital Markets Company, a provider of e-based solutions to the global financial services and capital markets industry, and chief financial officer of Booz Allen & Hamilton Inc., a management consulting firm. Ms. Goss also held various senior executive positions with Prudential Insurance Company of America and Chase Manhattan Bank, N.A
In addition to American Water, Ms. Goss serves on the Board of Ocwen Financial Corporation. She also serves on several private company boards, including Channel Reinsurance Ltd., where she also serves as Chair, the board of the Neuberger Berman Mutual Fund Complex, and Allianz Life of New York. She previously served on the Boards of Claire's Stores, Inc., Foster Wheeler Ltd., Dexter Corporation, the Metropolitan Regional Board of The Chase Manhattan Bank, IBJ Whitehall Business Credit Corporation and the boards of various subsidiaries of The Prudential Insurance Company of America. She is a frequent speaker on corporate governance, enterprise risk management and audit committee topics for the Conference Board and other organizations.
Ms. Goss is a Trustee Emerita of Brown University and Past President and a Board member of the Financial Women's Association of New York. In addition, she was selected as co-honoree with Lady Margaret Thatcher for Brown University's Independent Man Award, was invited to participate as one of the 326 delegates to President Clinton's Economic Summit in 1992, is a member of the Committee of 200 and TIGER 21 and a recipient of the Distinguished Alumni Award of Brown University.
Ms. Goss has a bachelor's degree from Brown University and received her MBA from Harvard Graduate School of Business.
Rolf Pohlig

Dr. Rolf Pohlig has served as a member of American Water's Board of Directors since August 8, 2007.
Dr. Pohlig is currently the Chief Financial Officer of RWE AG, an industry-leading utility company active in the generation and transmission as well as the sale and trading of electricity and gas. With headquarters in Essen, Germany, RWE has 63,000 employees and supplies 20 million customers with electricity and 10 million with gas. In fiscal 2007, RWE recorded around US$68 billion in revenue. Dr. Pohlig has been a member of the company's Executive Board since his appointment in January 2007.
Prior to his role with RWE, Dr. Pohlig served as the Executive Vice President of Mergers & Acquisitions for E.ON AG, a large investor-owned European utility based in Düsseldorf, Germany. There, Dr. Pohlig was responsible for the execution of a major acquisition and disposal programme which transformed E.ON from a broadly diversified conglomerate into the world's largest investor-owned gas and power utility He has also served as the Executive Vice President of Finance for the E.ON predecessor company, VEBA AG.
Dr. Pohlig also holds membership on the Boards of i.a. RWE Energy, RWE Power, RWE npower.
A native of Solingen, Germany, Dr. Pohlig obtained a master's degree in business administration and a doctorate in Economics from Ruhr University in Bochum, Germany.
Andreas G. Zetzsche

Andreas G. Zetzsche began his tenure as a member of American Water's Board of Directors on August 17, 2007.
Mr. Zetzsche currently serves as the Group Head of Mergers & Acquisitions (M&A) at RWE AG, an industry-leading utility company active in the generation and transmission as well as the sale and trading of electricity and gas. With headquarters in Essen, Germany, RWE has 63,000 employees and supplies 20 million customers with electricity and 10 million with gas. In fiscal 2007, RWE recorded around US$68 billion in revenue.
Mr. Zetzsche is responsible for the Group's M&A unit. During the last six years, Mr. Zetzsche and his team executed approximately 60 major acquisitions and divestitures. He has also served as Vice President Finance for RWE Dea AG, a subsidiary of RWE AG dedicated to the exploration and production of crude oil and natural gas.
Prior to joining RWE, Mr. Zetzsche held various positions at Chase Manhattan Bank N.A. Starting as a relationship officer for German corporate clients in 1983 in Frankfurt, he moved to New York where he served as transaction officer in the International Dept. and the Merchant Banking Group. From 1991 to 1993, being seconded, he advised the German privatization agency Treuhandanstalt in Berlin to divest approximately 40 companies. From 1993 to 1997, he served as head of the European Chemical Group and managing director at Chase London. In this role, he was responsible for the coverage for all the major European chemical clients of the banks. In addition to that, he developed Chase's LBO business related to chemical companies.
Originally from Hamburg, Mr. Zetzsche attended the European Business School in Oestrich-Winkel (Germany), London, and Paris, where he received a master's degree in business administration.
Richard R. Grigg

Richard R. Grigg joined American Water's Board of Directors on August 27, 2008.
Mr. Grigg currently serves as executive vice president of FirstEnergy Corp. and president of FirstEnergy Utilities Group. FirstEnergy is a diversified energy company headquartered in Akron, Ohio. The Utilities Group he leads features the company's Energy Delivery Group, which includes seven electric utility operating companies in Ohio, Pennsylvania and New Jersey, along with Customer Service and Federal Energy Regulatory Commission Compliance. He first joined FirstEnergy in 2004 as executive vice president and chief operating officer.
Prior to joining FirstEnergy, Mr. Grigg had a distinguished, 34-year career at Wisconsin Energy Corporation (WEC), retiring as president and chief executive officer of its subsidiary, WE Generation. He served in a variety of management positions at other WEC subsidiaries, including Wisconsin Electric Power Company and Wisconsin Gas Company, where he was president and chief operating officer.
Mr. Grigg currently serves on the board of trustees of the Akron Children's Hospital and the Northeast Ohio Council on Higher Education, and is an associate member of The President's Council, Cleveland, Ohio. Mr. Grigg is president and on the board of the Association of Edison Illuminating Companies and is a member of the American Society of Mechanical Engineers.
A long-time member of the Board of Trustees for the Milwaukee Boys and Girls Club, Mr. Grigg also served as a member of the United Community Center; a member and chair of the Industrial Liaison Council with the Engineering School at the University of Wisconsin - Milwaukee; a member of the Board of Regents at the Milwaukee School of Engineering; and was a member of the Milwaukee Children's Hospital President's Council. Mr. Grigg is also a former member of the board of directors of the Electric Power Research Institute and the Ohio Valley Electric Corporation, and a former chair of the Wisconsin Utilities Association Power Generation Committee.
Mr. Grigg earned a Bachelor of Science and master's degree in mechanical engineering from the University of Wisconsin and is a registered professional engineer in the states of Ohio and Wisconsin. In 1999, he was named Engineer of the Year by the Engineers & Scientists of Milwaukee. In 2004, Mr. Grigg received an Honorary Doctorate in Commercial Science from the University of Wisconsin.
Manfred Döss

Prior to joining RWE, Dr. Döss held various positions at Metallgesellschaft AG (now GEA Group) from 1990 to 2004, having served as Senior Vice President and General Counsel and as a member of the Supervisory Board.
Donald L. Correll
President and Chief Executive Officer
Donald L. Correll is president and chief executive officer (CEO) of American Water, the largest investor-owned U.S. water and wastewater utility company. For more than 30 years, Mr. Correll has held leadership roles in the water industry and is known for developing a high-quality, customer-oriented culture in the companies he manages, resulting in outstanding service and improved stakeholder value.
Mr. Correll leads a team of more than 7,000 dedicated professionals who provide drinking water, wastewater and other related services to approximately 15 million people in 32 states and Ontario, Canada. He is responsible for developing the overall strategy and vision of American Water and directing its key business development initiatives.
Prior to joining American Water on April 17, 2006, Mr. Correll served as president and CEO of Pennichuck Corp., a New Hampshire-based water utility holding company. During his tenure, Pennichuck reported solid financial performance and growth in market value and customer service.
Mr. Correll spent 25 years with United Water Resources, a leading investor-owned water services company, where he served as chairman, president and CEO from 1991 through 2001. Under his direction, the company's market capitalization increased from $400 million to $1.8 billion and its revenue base grew from $150 million to $500 million. He is also credited with expanding the United Water customer base from 1 million in two states to 7.5 million in 19 states.
Mr. Correll serves on the boards of a variety of civic, professional and business organizations, including the Environmental Financial Advisory Board of the U.S. Environmental Protection Agency and the National Association of Water Companies. In addition, he is a member of the board of directors of HealthSouth Corporation and New Jersey Resources and is a commissioner of the New Jersey Water Supply Authority.
Mr. Correll is a graduate of The Pennsylvania State University and New York University, where he earned a bachelor's degree in accounting, and master's in business administration in finance, respectively. He is also a certified public accountant in New York. He resides in Franklin Lakes, N.J., with his wife, Chris.
